1) Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Oriya Nutrition LLC website, store, and services (the “Site” and “Services”). By visiting, purchasing from, or otherwise using the Site, you agree to these Terms and our Privacy Policy and Refund, Return & Exchange Policy (collectively, the “Policies”). If you do not agree, do not use the Site.

2) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase from or use the Site. By using the Site, you represent you meet this requirement and are legally able to enter into these Terms.

3) Product Information & Health Disclaimer

Our products are dietary supplements. Statements on the Site have not been evaluated by the Food and Drug Administration. Products are not intended to diagnose, treat, cure, or prevent any disease.

Consult your physician before use, especially if you are pregnant or nursing, taking medication, have a medical condition, or plan to undergo a medical procedure. Discontinue use and consult a healthcare professional if you experience any adverse reaction.

4) Orders, Payment & Fraud Prevention

Order Acceptance. Your order is an offer to buy; we may accept or decline at our sole discretion (including for suspected fraud, pricing/stock errors, or policy violations).
Payment. You authorize us (and our payment processors) to charge your selected payment method for the total amount, including taxes, shipping, and any applicable fees.
Verification. We may request additional information to verify identity, payment, or delivery details.

5) Shipping, Delivery & Risk of Loss

Shipping Times. Any shipping or delivery dates are good-faith estimates, not guarantees.
Risk of Loss. Title and risk transfer to you when we deliver products to the carrier.
Lost/Delayed Packages. If a package shows “delivered” but you did not receive it, contact the carrier, then email support@oriyanutrition.com with the case/claim number. We’ll help investigate.

6) Refunds, Returns & Exchanges (Summary)

Refer to our full Refund, Return & Exchange Policy (incorporated by reference). Key points:

90-Day Money-Back Guarantee: Request within 90 days of purchase with proof of order, proof of use, and a real reason it didn’t work for you. Email support@oriyanutrition.com before sending anything back. Unless it’s our error, return shipping is the customer’s responsibility. Refunds go to the original payment method after approval/receipt.
Exchanges for Damage/Defect/Wrong Item: Request within 7 calendar days of purchase with photos and order number. If it’s our error, we replace at no cost.
Non-returnable items include gift cards, downloadable resources, and free promotional items.

7) Subscriptions & Auto-Renewals (If Offered)

If you enroll in a subscription:

Your subscription renews automatically at the stated interval and price until canceled.
You authorize recurring charges to your payment method.
You can cancel anytime from your account or by contacting support@oriyanutrition.com before your next renewal date.
Price changes will be announced in advance; continued use after notice constitutes acceptance.

8) Pricing, Promotions & Errors

All prices are in U.S. dollars unless noted. We may change prices or run promotions at any time. In the event of an error (pricing, description, availability), we may cancel orders or contact you for instructions. Promo codes cannot be sold, transferred, or redeemed for cash and may be limited by terms on their face.

9) Accounts, Security & Communications

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. By providing contact details, you agree to receive transactional communications (order confirmations, shipping updates, etc.). Marketing emails/SMS require your consent; you may opt out at any time.

10) Permitted & Prohibited Uses

You agree not to:

Use the Site for unlawful purposes or in violation of these Terms;
Interfere with Site security, integrity, or operation;
Harvest data, reverse engineer, or create derivative works from the Site;
Upload or transmit viruses, malicious code, or harmful content;
Misrepresent your identity or affiliation.

11) Intellectual Property

All content on the Site—including text, graphics, logos, icons, images, audio/video clips, product names, and compilations—is owned by Oriya Nutrition LLC or our licensors and protected by intellectual-property laws. You may not copy, reproduce, distribute, display, or create derivative works without our prior written consent.

12) User Content (Reviews, Photos, Feedback)

If you submit reviews, photos, or feedback (“User Content”), you grant Oriya Nutrition LLC a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, display, and distribute such content in any media for marketing, analytics, or other lawful purposes. You represent you own or have the necessary rights to your User Content and that it is accurate, lawful, and non-infringing.

13) Third-Party Services & Links

The Site may link to third-party sites or use third-party tools (e.g., payment processors, shipping carriers). We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

14) Mobile/SMS & Email Marketing (If Enabled)

By opting into SMS or email marketing, you consent to receive promotional messages at the address/number provided. Message/data rates may apply. Message frequency varies. You can opt out at any time (email unsubscribe link or reply STOP for SMS). Opt-out does not affect transactional communications.

15) International Orders, Duties & Compliance

If you order outside the U.S., you are responsible for complying with local laws and paying any import duties, taxes, or fees. We do not guarantee that the Site, products, or content are appropriate or available in all locations.

16) Disclaimer of Warranties

To the fullest extent permitted by law, the Site and products are provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, or that defects will be corrected

17) Limitation of Liability

To the fullest extent permitted by law, Oriya Nutrition LLC and its officers, directors, employees, agents, and affiliates are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or loss of profits, data, goodwill, or other intangible losses arising out of or related to your use of the Site or products—even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid for the applicable product(s) during the six (6) months preceding the claim.

18) Indemnification

You agree to indemnify, defend, and hold harmless Oriya Nutrition LLC and its affiliates from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

19) Dispute Resolution; Governing Law; Arbitration

Governing Law. These Terms and your use of the Site are governed by the laws of the State of [Your State], without regard to conflict-of-law rules, and applicable U.S. federal law.
Informal Resolution. Before filing a claim, you agree to email support@oriyanutrition.com with a description of your dispute so we can try to resolve it informally within 30 days.
Arbitration. Any dispute not resolved informally will be finally resolved by binding arbitration on an individual basis under the rules of JAMS (or another mutually agreed provider). Class actions and class arbitrations are not permitted. Either party may bring an individual action in small-claims court instead of arbitration.
Venue. Unless otherwise required by law, arbitration will take place in [Your County/State], or by video/teleconference as permitted by the arbitrator.
Injunctive Relief. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property or confidential-information rights.

20) Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, supply shortages, war, terrorism, government action, or failures of telecommunications or third-party providers.

21) Changes to the Site or Terms

We may update the Site, products, pricing, or these Terms at any time. Changes are effective when posted. Your continued use of the Site after changes means you accept the updated Terms.

22) Severability; Assignment; Entire Agreement

If any provision of these Terms is held invalid, the remaining provisions remain in full force. You may not assign your rights or obligations under these Terms without our prior written consent; we may assign at any time. These Terms, together with the Policies, constitute the entire agreement between you and us regarding the Site and products.
